1. Agreement to these Terms
These Terms of Service ("Terms") are a binding agreement between you and , registered at governing your use of the SW_Billing platform.
By creating an account, accepting an invitation to a workspace, or using the platform in any way, you confirm that you have read and accept these Terms and our Privacy Policy. If you do not accept them, do not use the platform.
If you are agreeing on behalf of a company, firm or other entity, you confirm that you are authorised to bind that entity, and "you" refers to that entity.
2. Definitions
- Platform — the SW_Billing web application, mobile interface, API and related services.
- Workspace — the isolated business environment created for your business, holding its records.
- Account Owner — the person who registered the business and controls it.
- Authorised User — any staff member or other person the Account Owner grants access to.
- Your Data — everything you enter, upload or generate in your Workspace, including invoices, ledgers, contacts, employee records and files.
3. What the Service Does
SW_Billing is business accounting and billing software for Indian businesses. Depending on your plan, it provides:
- Invoices, quotes, bills and purchase orders
- Credit notes and vendor credits
- Customer and supplier records with party ledgers
- Double-entry bookkeeping, chart of accounts and financial statements
- GST-compliant invoicing, GST reporting and composition-scheme support
- Expense tracking and receipt capture
- Products, inventory and stock management
- Bank accounts, transactions and reconciliation
- Payroll, employee records, leave and time tracking
- Point-of-sale, reports, and API access on eligible plans
We provide the software. We do not provide accounting, tax, legal or financial advice, and we are not your accountant, auditor or tax agent. See Section 11.
4. Eligibility and Registration
- You must be at least 18 years old and legally capable of entering a contract.
- You must provide accurate, current and complete registration details, including your business name and, where applicable, your GSTIN.
- You must keep those details up to date. Incorrect business or tax details will produce incorrect documents, and that is your responsibility.
- One person or entity may not maintain multiple accounts to circumvent plan limits.
5. Accounts, Users and Security
- You are responsible for all activity under your account and the accounts of your Authorised Users.
- Keep your password confidential. Do not share logins — add a separate user instead, so that actions are correctly attributed in the audit trail.
- We strongly recommend enabling two-factor authentication. Where a loss results from your not doing so, that is a factor in apportioning responsibility.
- The Account Owner is responsible for granting and revoking access, and for removing users who leave the business.
- API tokens you generate carry your access rights. Treat them as credentials and revoke them when no longer needed.
- Notify us immediately at services@digitalmatty.com if you suspect unauthorised access.
6. Plans, Fees and Billing
- The platform is sold on a subscription basis, on a monthly or yearly billing cycle, at the price shown at the time you subscribe.
- Prices are in Indian Rupees (₹) and are exclusive of GST unless stated otherwise. Applicable taxes are added at checkout.
- Each plan carries usage limits — users, invoices per month, bills, purchase orders, quotes, contacts and products. Limits are enforced by the platform, and exceeding them requires a plan upgrade or an add-on.
- Optional add-ons may be purchased alongside a plan and are billed on the same cycle. Some are priced per user and some at a flat rate.
- Payments are processed by our payment processor. We never receive or store your card details.
- You authorise us to charge the applicable fees, including on renewal, to your chosen payment method.
- Fees for a billing cycle are payable in full. Downgrading mid-cycle does not generate a refund of the difference.
- We may change pricing on 30 days' notice. New prices apply from your next renewal, never mid-cycle.
7. Renewal, Grace Period and Expiry
Subscriptions renew automatically at the end of each billing cycle unless cancelled beforehand.
| Stage | What happens |
|---|---|
| Renewal reminders | We email you before expiry — typically 7, 3 and 1 days beforehand |
| Payment fails | The subscription is marked past due and we notify you |
| Grace period | 7 days of continued but limited access, so you can settle payment or export your data |
| Expiry | Access to the workspace is suspended. Your data is retained, not deleted. |
| Reactivation | Paying the outstanding amount restores access to your workspace as it was |
We retain the data of expired accounts for a reasonable period so you can recover it, but you should not rely on indefinite retention. Export anything you need. See our Privacy Policy for retention detail.
8. Cancellation and Refunds
- You may cancel at any time. Cancellation stops future renewals; it does not end the cycle you have already paid for.
- On cancellation you keep access until the end of the current paid period.
- Fees already paid are non-refundable, including for unused time in a cycle, except where required by law or expressly stated otherwise.
- We may, at our discretion, refund a payment taken in error, a duplicate charge, or a charge raised after a valid cancellation. Raise these with us within 7 days of the charge.
- Where we terminate your account for a reason other than your breach of these Terms, we will refund the unused portion of your current cycle on a pro-rata basis.
- Approved refunds are returned to the original payment method, normally within 7–10 working days of approval.
9. Your Data and Who Controls It
- You own Your Data. We claim no ownership over the records you create.
- You grant us a limited licence to host, process, transmit, back up and display Your Data solely to operate the platform and provide support.
- For the personal data of your customers, suppliers and employees, you are the Data Fiduciary and we act as your Data Processor. You are responsible for having a lawful basis to hold that data and for informing the people it describes.
- You are responsible for the accuracy and legality of what you upload.
- Each workspace is held in a dedicated database schema, isolated from other customers.
- We do not sell Your Data, and we do not use it to train machine-learning models.
Our full data practices are set out in the Privacy Policy, which forms part of these Terms.
10. Acceptable Use
You must not use the platform to:
- Break any law, or evade tax or regulatory obligations
- Create false, fraudulent or backdated invoices or accounting records
- Launder money or disguise the source of funds
- Store or transmit unlawful, defamatory or infringing content
- Upload malware, or attempt to breach or probe our security
- Access another customer's workspace or data
- Reverse engineer, decompile or copy the platform
- Resell or white-label the platform without our written agreement
- Place unreasonable load on our systems, or scrape or bulk-extract data outside the API
- Circumvent plan limits, billing or access controls
We may investigate suspected breaches and suspend access where we reasonably believe a breach has occurred.
11. Tax, GST and Accounting Output
Please read this section carefully
The platform calculates GST, generates invoices and produces accounting reports from the data you enter and the settings you choose — GSTIN, place of supply, HSN/SAC codes, tax rates, composition-scheme status and financial year.
You remain solely responsible for the accuracy of your tax filings, statutory returns and books of account. Output from the platform is a tool to assist you, not professional advice, and it is not a substitute for review by a qualified chartered accountant or tax practitioner. Verify figures before filing or relying on them.
- We do not warrant that any calculation, report or return produced by the platform is correct, complete, or accepted by any tax authority.
- We are not liable for penalties, interest, assessments or losses arising from incorrect data entry, incorrect configuration, or reliance on platform output.
- Tax law changes. While we work to keep the platform current with GST rules, we do not guarantee that it reflects every change immediately.
- You are responsible for filing your own returns. The platform does not file on your behalf.
12. Third-Party Services
The platform integrates with third-party services, including payment processing and bank-feed providers. Where you connect one:
- Your use of that service is governed by that provider's own terms and privacy policy.
- You authorise us to exchange the data needed to operate the integration.
- We are not responsible for a third party's availability, accuracy or acts. A bank feed may be delayed, incomplete or interrupted, and imported transactions should be reviewed before reconciliation.
- You may disconnect an integration at any time from your settings.
The providers we use are listed in our Privacy Policy.
13. Intellectual Property
- The platform, its source code, design, branding and documentation are owned by us and protected by law. Nothing in these Terms transfers any of it to you.
- We grant you a limited, non-exclusive, non-transferable, revocable licence to use the platform for your own business purposes for the term of your subscription.
- You may not remove or obscure our branding, or copy the look and feel of the platform.
- Documents you generate — invoices, reports, statements — are yours to use freely.
- If you send us feedback or suggestions, we may use them without obligation or payment to you.
14. Availability, Maintenance and Support
- We work to keep the platform available continuously, but we do not guarantee uninterrupted or error-free service.
- We carry out scheduled maintenance, and will give advance notice of significant planned downtime where practical.
- Emergency maintenance and security patching may occur without notice.
- Availability may also be affected by your own connectivity, browser or device, or by a third-party provider.
- Support is provided by email and through in-app support tickets during our normal business hours. We aim to acknowledge requests within one working day.
- We may modify, add or withdraw features. Where we withdraw a significant feature, we will give reasonable notice.
15. Backups and Data Export
- We take regular backups for our own disaster-recovery purposes.
- Our backups are not a substitute for your own records. You are responsible for exporting and retaining the data you are legally required to keep.
- You can export your data from the platform in standard formats at any time during your subscription.
- We do not guarantee recovery of data you delete yourself. Deletion within the app is your action and may be irreversible.
16. Suspension and Termination
We may suspend or terminate access where:
- Fees are unpaid after the grace period
- You breach these Terms, in particular Section 10
- We are required to by law, or by a court or regulator
- Your use poses a security risk to the platform or other customers
Except where the breach is serious or we are legally obliged to act immediately, we will give you notice and a reasonable opportunity to fix the problem. On termination your licence ends and access stops; we will give you a reasonable opportunity to export Your Data first, unless prevented by law.
You may stop using the platform at any time by cancelling your subscription.
17. Deleting Your Account
Because a workspace holds statutory accounting records, permanent deletion is not self-service. It is requested through our support team, verified against the Account Owner, and carried out by an authorised administrator.
The full process, what is deleted, what is retained and how long it takes is set out on our Delete Your Account page.
18. Disclaimers and Limitation of Liability
To the maximum extent permitted by law, the platform is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, special, punitive or consequential loss, including loss of profit, revenue, goodwill, business opportunity or anticipated savings.
- We are not liable for loss or corruption of data, except where it results from our failure to take reasonable technical measures.
- We are not liable for tax penalties, interest or assessments arising from your use of the platform (Section 11).
- Our total aggregate liability arising out of or in connection with these Terms is limited to the total fees you paid us in the 12 months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for fraud, or for death or personal injury caused by negligence.
19. Indemnity
You agree to indemnify us against claims, losses and reasonable costs arising from your breach of these Terms, your unlawful use of the platform, your infringement of a third party's rights, or a claim by a person whose personal data you entered into your workspace without a lawful basis.
20. Confidentiality
We treat Your Data as confidential and will not access it except to operate the platform, to provide support you have requested, to investigate a security incident or suspected breach of these Terms, or where required by law. Our staff are bound by confidentiality obligations, and access is restricted and logged.
21. Force Majeure
Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural disaster, war, civil unrest, epidemic, strike, failure of power or telecommunications, internet or hosting outage, cyber attack, or government action. Obligations to pay amounts already due are not suspended.
22. Changes to the Service and these Terms
We may update these Terms as the platform or the law changes. The "Last updated" date above reflects the current version. For material changes we will give notice by email and by an in-app notice before they take effect. Continuing to use the platform after that date means you accept the updated Terms. If you do not accept them, you may cancel your subscription.
23. Governing Law and Disputes
- These Terms are governed by the laws of India.
- The courts at , have exclusive jurisdiction, and both parties submit to that jurisdiction.
- Before starting proceedings, both parties agree to attempt to resolve the dispute in good faith by writing to the other, and allowing 30 days for a response.
24. General and Contact
- Entire agreement. These Terms, together with the Privacy Policy, are the whole agreement between us on this subject.
- Severability. If any provision is held unenforceable, the rest remains in force.
- No waiver. If we do not enforce a right, we do not waive it.
- Assignment. You may not assign these Terms without our written consent. We may assign them as part of a merger, acquisition or restructuring.
- Survival. Sections 9, 11, 13, 18, 19, 20, 23 and 24 survive termination.
